3. Service Term, Renewal and Cancellation

4. Fees, Billing and Autopay

5. Failed Payments and Suspension

If a payment fails and is not fixed within 7 days, we may pause all work and any ads we manage until your account is current. Fees continue to accrue during a suspension, and timelines are extended by the length of the suspension. If an account remains past due for 30 days, we may terminate the Services for cause. You are responsible for reasonable costs we incur to collect past due amounts.

6. Refunds

Fees paid are non-refundable, including partial months, except where required by law or stated in your Order.

7. Client Responsibilities and Approvals

8. Ownership

9. No Guarantees and Disclaimer of Warranties

Marketing results depend on many factors outside our control, including search engine and AI platform algorithms, ad platform policies, competition, market demand, budget, your website, your offer, and your sales follow-up. RevOpsFlow does not guarantee any specific rankings, positions, traffic, AI citations or mentions, leads, sales, revenue, cost per lead, return on ad spend, ROI, or other results. Any forecasts, estimates, or examples are for illustration only and are not promises. We will perform the Services with reasonable professional care. Except as expressly stated in these Terms, the Services and Deliverables are provided "as is" and "as available," and we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Third-Party Platforms

The Services rely on third-party platforms such as search engines, AI platforms, ad networks, social networks, payment processors, hosting, and software providers. We do not control them and are not responsible for their outages, algorithm or policy changes, pricing changes, ad disapprovals, or account restrictions, suspensions, or bans. Your use of each platform is subject to that platform's own terms.

11. Data and Backups

You are responsible for keeping your own backups of your data and content. We are not liable for loss or corruption of data caused by third-party platforms, hosting providers, or events outside our reasonable control.

12. Confidentiality

Each party will keep the other's non-public business information confidential and use it only to perform or receive the Services, except where disclosure is required by law. Our handling of personal information is described in our Privacy Policy at https://revopsflow.com/privacy.

13. Non-Solicitation

During the Services and for 12 months after they end, you will not directly or indirectly hire or engage any RevOpsFlow employee or contractor who worked on your account without our written consent.

14. Limitation of Liability

To the maximum extent allowed by law, RevOpsFlow will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, lost data, or loss of rankings, even if advised of the possibility of such damages. RevOpsFlow's total liability for all claims arising out of or relating to the Services or these Terms is limited to the fees you actually paid RevOpsFlow in the 3 months before the event giving rise to the claim.

15. Indemnification

You will defend, indemnify, and hold harmless RevOpsFlow and its owners, employees, and contractors from any claims, losses, damages, fines, and expenses, including reasonable attorneys' fees, arising from: (a) Client Materials and content you approve; (b) your products, services, offers, and advertising claims; (c) your violation of law or platform policies; (d) any claim that intellectual property you supplied infringes another's rights; or (e) your breach of these Terms.

16. Termination for Cause

Either party may terminate a Service immediately by written notice if the other party materially breaches these Terms and does not cure the breach within 10 days after written notice. We may also terminate under Section 5 for non-payment. On termination, all unpaid fees, including any remaining minimum term fees where you are the breaching party, become due.

17. Force Majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, outages of internet or third-party platforms, government action, or labor disputes. This does not excuse payment obligations.

18. Independent Contractor

RevOpsFlow is an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.

19. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, without regard to conflict of laws rules. Before filing any claim, the parties will first try in good faith to resolve the dispute through informal negotiation for at least 30 days after written notice. If not resolved, the dispute will be brought exclusively in the state or federal courts located in Fulton County, Georgia, and each party consents to that jurisdiction.

20. General

21. Changes to These Terms

We may update these Terms by posting a new version on this page with a new "Last updated" date. Changes apply to billing periods that start after posting. Continued use of the Services after that means you accept the updated Terms.
